Registers a foreign profit corporation to transact business in the state of Iowa.  A foreign corporation means a corporation incorporated under a law other than the law of this state which would be a business corporation if incorporated under the law of this state. Initial Requirements The foreign corporation shall deliver the completed statement to the Secretary of State, and also deliver to the Secretary of State a certificate of existence or a document of similar import duly authenticated by the secretary of state or other official having custody of corporate records in the state or country under whose law it is incorporated which is dated no earlier than ninety days prior to the date the application is filed by the secretary of state. Fee Structure Fee: $100 Renewal Requirements In order to remain active, a foreign profit corporation must submit a biennial report to the Secretary of State by March 31 of every even-numbered year. Exam Does not pertain. Additional Information The first biennial report shall be delivered to the secretary of state between January 1 and April 1 of the first even-numbered year following the calendar year in which a foreign corporation was registered to transact business. Subsequent biennial reports must be delivered to the secretary of state between January 1 and April 1 of the following even-numbered calendar years. A filing fee for the biennial report shall be determined by the secretary of state. For purposes of this section, each biennial report shall contain information related to the two-year period immediately preceding the calendar year in which the report is filed. Failure to file the required report will result in administrative termination of registration.
