Registers a foreign profit corporation to transact business in the state of Iowa.  A foreign corporation means a corporation for profit incorporated under a law other than the law of Iowa.

Initial Requirements The foreign corporation shall deliver the completed statement to the Secretary of State, and also deliver to the Secretary of State a certificate of existence or a document of similar import duly authenticated by the Secretary of State or other official having custody of corporate records in the state or country under whose law it is incorporated which is dated no earlier than ninety days prior to the date the statement is filed with the Secretary of State. Each corporation must continuously maintain a registered office and agent in Iowa.

Additional Information The first biennial report shall be delivered to the secretary of state between January 1 and April 1 of the first even-numbered year following the calendar year in which a foreign corporation was registered to transact business. Subsequent biennial reports must be delivered to the secretary of state between January 1 and April 1 of the following even-numbered calendar years. A filing fee for the biennial report shall be determined by the secretary of state. For purposes of this section, each biennial report shall contain information related to the two-year period immediately preceding the calendar year in which the report is filed. Failure to file the required report may result in administrative termination of registration.
