Allows a foreign limited liability company to transact business in the state of Iowa. A foreign limited liability company means an unincorporated entity formed under the law of a jurisdiction other than this state which would be a limited liability company if formed under the law of this state. Initial Requirements Deliver the completed statement to the Secretary of State along with a certificate of existence or a document of similar import duly authenticated by the secretary of state or other official having custody of corporate records in the state or country under whose law it is incorporated which is dated no earlier than ninety days prior to the date the statement is filed by the secretary of state. Each limited liability company must continuously maintain a registered agent at an address in Iowa, and keep that name and address up to date with the Secretary of State. Fee Structure Fee: $100 Renewal Requirements In order to remain active, a foreign limited liability company must submit a biennial report to the Secretary of State by March 31 of every odd-numbered year. Exam Does not pertain. Additional Information A foreign limited liability company authorized to transact business in Iowa shall deliver to the secretary of state for filing a biennial report. The first biennial report required under Iowa Code 489.209 must be delivered to the secretary of state between January 1 and April 1 of the first odd-numbered year following the calendar year in which a foreign limited liability company was authorized to transact business. A subsequent biennial report must be delivered to the secretary of state between January 1 and April 1 of each following odd-numbered calendar year. A filing fee for the biennial report shall be determined by the secretary of state pursuant to section 489.122. Each biennial report shall contain information related to the two-year period immediately preceding the calendar year in which the report is filed. Failure to file the required report will result in revocation.
